1. Terms of Use
1.1 Agreement
These Terms of Use ("Terms") govern access to and use of the SuryaDhar website, installer portal, mobile experiences, WhatsApp-integrated workflows, APIs and related services (together, the "Platform"). By requesting access, creating an account, clicking "I agree", or using the Platform, you ("Installer", "you") enter into a binding agreement with AiEnerzy on behalf of the business you represent. If you do not agree, do not use the Platform. The Privacy Policy, Data Policy and Cookie Policy form part of these Terms.
1.2 Eligibility and verification
The Platform is a business-to-business service. You confirm that you are at least 18 years of age, are authorised to bind the business you register, and that the business is lawfully engaged in solar or energy-storage design, installation, EPC, integration or maintenance. Access is granted only after AiEnerzy verifies the business. We may request registration documents, GSTIN, licences, references or evidence of installation activity, and may approve, refuse, suspend or withdraw access at our discretion. You must keep your account information accurate and your credentials confidential. You are responsible for all activity under your workspace, including by team members you invite.
1.3 Fees
The core Platform is provided without a subscription fee to eligible, verified India-based solar installer businesses. A nominal ₹1 per month account-verification charge applies to maintain an active verified account and to reduce fraudulent registrations. Recurring charges are collected through an RBI-compliant e-mandate with your explicit authorisation; you may cancel the mandate at any time, which ends access to the Platform at the close of the paid period. Taxes are extra where applicable. AiEnerzy may introduce charges for optional premium services, third-party services, hardware integrations, messaging volumes or usage beyond published free-tier limits, with at least 30 days' notice; continued use after the effective date constitutes acceptance. Nothing in these Terms promises that the Platform will remain free indefinitely.
1.4 Licence to use the Platform
Subject to these Terms, AiEnerzy grants you a limited, non-exclusive, non-transferable, revocable licence to use the Platform for your internal business purposes. You may not copy, modify, reverse-engineer, scrape, resell, sublicense, benchmark for competitive purposes, or build a competing product using the Platform or its outputs; use automated means to access it except through documented APIs; circumvent security or usage limits; or use it to send unlawful or unsolicited communications.
1.5 Your Data and the licence you grant us
You retain ownership of the data you and your team upload or generate on the Platform, including customer records, electricity bills, site surveys, photographs, voice notes, designs, documents and messages ("Customer Data"). To operate and improve the Platform and to deliver the value described in the Data Policy, you grant AiEnerzy a worldwide, non-exclusive, perpetual, irrevocable, royalty-free licence to host, store, copy, process, analyse, transmit, display, adapt and create derivative works from Customer Data, Telemetry Data and Usage Data, including to generate Derived Data as defined in the Data Policy. AiEnerzy owns all Derived Data and all intellectual property in the Platform. Our use of personal data within Customer Data is governed by the Privacy Policy and the Data Policy, which limit how identifiable personal data may be used.
1.6 Your responsibilities for end-customer data
Where Customer Data includes personal data of your customers, prospects, employees or field staff, you are the Data Fiduciary (controller) and AiEnerzy acts as your Data Processor. You warrant that you have given lawful notice to, and where required obtained consent from, those individuals for the collection of their data and for its processing by AiEnerzy as described in the Data Policy, including WhatsApp and other messaging, electricity-bill analysis and remote monitoring. You are responsible for compliance with telecom and messaging regulations (including TRAI's commercial-communication rules and WhatsApp Business policies) when you message customers through the Platform.
1.7 AI outputs, calculation estimates and engineering responsibility
The Platform uses satellite imagery, public and licensed datasets, electricity bills, site inputs, physics-based models and machine-learning systems to produce designs, roof measurements, generation estimates, battery and inverter sizing, bills of quantities, proposals, savings and payback estimates, notes, monitoring insights and other calculations (together, "Outputs").
All Outputs and calculations are estimates and decision-support tools only. They are not certified engineering, structural, electrical, legal, financial or regulatory advice and must not be treated as 100% accurate. Outputs may contain errors, omissions or inaccuracies because of imagery resolution, OCR or data-extraction errors, incomplete or incorrect user inputs, model assumptions, weather and irradiance variability, tariff changes, equipment characteristics, site conditions, third-party data or other factors.
Before procurement, construction, installation, commissioning or making a binding representation to an end-customer, the Installer must independently verify every material Output using an actual site survey and appropriately qualified personnel. This includes, where relevant, roof dimensions and usable area, structural suitability, shading and obstructions, electrical parameters, cable and protection sizing, earthing and safety requirements, inverter/PCS and battery compatibility, battery capacity, generation estimates, bill data, BoQ quantities, pricing, savings and payback assumptions, telemetry interpretations and compliance with applicable CEA, DISCOM, net-metering, MNRE, building, fire, electrical and other local requirements.
The Installer remains solely responsible for the final system design, engineering sign-off, equipment selection, installation, commissioning, regulatory compliance and representations made to customers. AiEnerzy does not guarantee generation, savings, payback, equipment performance, system performance or the accuracy or completeness of any Output.
1.8 Third-party services
The Platform integrates third-party services such as mapping and satellite imagery providers, the WhatsApp Business Platform operated by Meta, payment gateways, cloud infrastructure, telephony and inverter or data-logger APIs. Their terms and privacy policies apply to their services. AiEnerzy is not responsible for their availability or conduct. References to WhatsApp describe an integration, not a partnership or endorsement, unless expressly stated.
1.9 Confidentiality
Each party will protect the other's non-public information with reasonable care and use it only to perform under these Terms. This does not restrict AiEnerzy's use of Derived Data or information that is public, independently developed or lawfully received from a third party.
1.10 Suspension and termination
You may stop using the Platform and close your account at any time. AiEnerzy may suspend or terminate access immediately for breach of these Terms, suspected fraud or misuse, failed verification, non-payment, legal requirement or risk to the Platform or other users, and otherwise on 30 days' notice. For 30 days after termination you may export your Customer Data in a commonly used format; thereafter AiEnerzy may delete it, subject to legal retention requirements and the continued existence of Derived Data. Sections 1.5, 1.7, 1.9, 1.11, 1.12, 1.13 and 1.14 survive termination.
1.11 Disclaimers
The Platform is provided "as is" and "as available". To the fullest extent permitted by law, AiEnerzy disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement, and does not warrant uninterrupted or error-free operation.
1.12 Limitation of liability
To the fullest extent permitted by law, AiEnerzy and its directors, employees and partners will not be liable for indirect, incidental, special, consequential or punitive damages, loss of profit, revenue, business, data or goodwill, or the cost of substitute services, arising out of or related to the Platform or these Terms. AiEnerzy's total aggregate liability in any twelve-month period will not exceed the greater of the fees you paid to AiEnerzy in that period or ₹10,000. Nothing limits liability that cannot be limited under applicable law, including for fraud or wilful misconduct.
1.13 Indemnity
You will indemnify and hold AiEnerzy harmless from claims, losses and expenses (including reasonable legal fees) arising from your Customer Data, your breach of these Terms or applicable law, your messaging to customers, or your reliance on Outputs without verification.
1.14 Governing law and disputes
These Terms are governed by the laws of India. Disputes will first be referred to the Grievance Officer in Section 1.16. Unresolved disputes will be finally settled by arbitration under the Arbitration and Conciliation Act, 1996 by a sole arbitrator appointed by mutual agreement (or, failing agreement within 30 days, as provided by the Act), seated in Bengaluru, Karnataka, conducted in English. Subject to this, courts at Bengaluru have exclusive jurisdiction. Either party may seek interim relief from a court of competent jurisdiction.
1.15 Changes, notices, general
AiEnerzy may update these Terms by posting a revised version with a new effective date and, for material changes, notifying you by email, WhatsApp or in-product notice at least 15 days in advance. Notices to you may be sent to the contact details on your account. These Terms, together with the policies incorporated by reference, are the entire agreement; if any provision is unenforceable, the remainder stands; failure to enforce is not a waiver; you may not assign these Terms without our consent, and AiEnerzy may assign them to an affiliate or successor.
1.16 Grievance Officer
In accordance with the Information Technology Act, 2000 and rules thereunder: [Name], Grievance Officer, AiEnerzy Systems Private Limited, [address] · [grievance@enerzy.ai] · [phone]. 2.4 Who we share it with
Service providers who process data for us under written contracts (cloud hosting, communications and WhatsApp Business Platform providers, payment gateways, analytics, customer-support tooling, identity verification); professional advisers; regulators, courts and law-enforcement where legally required; and a successor entity in a merger, acquisition or restructuring, subject to this Policy. We do not sell personal data and we do not share identifiable personal data with third parties for their own advertising.
2.5 International transfers
Personal data is stored primarily in India. Some service providers may process data in other countries. We transfer personal data outside India only where permitted under the DPDP Act and any restrictions notified by the Central Government, and, for data subject to the GDPR or UK GDPR, under appropriate safeguards such as standard contractual clauses.
2.6 Retention
We keep personal data only as long as needed for the purposes above: account data for the life of the account and up to 3 years after closure; verification records and payment records for the period required under Indian company, tax and anti-fraud law (generally 8 years); communications and logs for up to 24 months; marketing consents until withdrawn. Where the DPDP Rules require, we will notify you at least 48 hours before erasing data following a period of inactivity. De-identified and aggregated data is not personal data and may be retained indefinitely.
2.7 Security
We implement reasonable security practices and procedures consistent with the IT Act and the DPDP Act, including encryption in transit and at rest, access controls, logging, segregation of customer workspaces, vendor due diligence and periodic testing. If a personal data breach occurs, we will notify the Data Protection Board of India and affected individuals as required by law.
2.8 Your rights
If you are in India, you may: access a summary of your personal data and the processing; correct, complete or update it; request erasure where it is no longer needed; withdraw consent at any time with the same ease it was given (we will stop the consented processing, which may end your access to the Platform); nominate a person to exercise your rights if you are incapacitated or deceased; and raise a grievance with us and, if unresolved, with the Data Protection Board of India. If you are in the EU, UK or another jurisdiction with comparable law, you also have rights to data portability, to object to or restrict processing, not to be subject to solely automated decisions with legal effect, and to complain to your supervisory authority. To exercise rights, contact the Grievance Officer below; we will verify your identity and respond within the period prescribed by law (and in any case within 30 days unless the law allows longer).
2.9 Consent, language and withdrawal
Where we rely on consent, we obtain it through a clear, affirmative action, separately from other terms, with an itemised description of the data and purpose. Consent can be withdrawn through your account settings or by writing to us; withdrawal does not affect processing already done. This notice is available in English and, on request, in any language listed in the Eighth Schedule to the Constitution of India.
2.10 Automated processing
The Platform generates designs, estimates and insights automatically. These are decision-support Outputs for Installers; AiEnerzy does not make decisions that produce legal or similarly significant effects on individuals solely by automated means.
2.11 Contact
Grievance Officer / Data Protection contact: [Name], AiEnerzy Systems Private Limited, [address], [privacy@enerzy.ai], [phone]. For GDPR purposes our EU/UK representative, if appointed, is [representative details].
2.12 Changes
We will post updates here with a new effective date and notify you of material changes.
3. Data Policy
This Data Policy explains how AiEnerzy handles the business data, telemetry and insights that flow through SuryaDhar, and the rights each party has in them. It applies to every Installer and user of the Platform and forms part of the Terms of Use. The Privacy Policy governs identifiable personal data and prevails over this Policy where personal data is concerned.
3.1 Definitions
- Account Data: information about your business and users, used to run your workspace.
- Customer Data: data you or your team upload, enter, generate or receive on the Platform — leads and customer records, electricity bills and extracted bill fields, site surveys, measurements, photographs, voice notes and transcripts, designs, BoQs, proposals, project records, documents and messages.
- End-Customer Personal Data: the subset of Customer Data that identifies or relates to your customers, prospects or their household members.
- Telemetry Data: data from inverters, loggers, gateways, meters and sensors at installed sites, including generation, consumption, status, alarms and events.
- Usage Data: data about how the Platform is used — features, queries, click paths, timings, errors and model inputs/outputs in operational logs.
- Derived Data: data and insights AiEnerzy creates from any of the above, including de-identified or aggregated datasets, statistics, benchmarks, indices, models, model weights, features, labels, evaluations and learned parameters.
- De-identified: processed so that it does not identify, and cannot reasonably be used to identify, an individual, a specific installer business or a specific end-customer, with technical and organisational measures to prevent re-identification.
3.2 Ownership
You own your Customer Data and Account Data. AiEnerzy owns the Platform, its models and all Derived Data. Telemetry Data is owned by the party entitled to it under your contract with the site owner; AiEnerzy receives a licence to it under Section 3.3. Nothing in this Policy transfers ownership of personal data, which belongs to the individual it concerns.
3.3 Licence to AiEnerzy
As consideration for access to the Platform at no subscription fee, you grant AiEnerzy a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, sublicensable licence to access, host, store, copy, process, analyse, transmit, display, adapt, combine and create derivative works from Customer Data, Telemetry Data and Usage Data for the purposes in Section 3.4, and to create, own and use Derived Data for any lawful purpose, including commercial purposes, during and after your use of the Platform. You confirm that you have the rights needed to grant this licence, including under your contracts with site owners and equipment vendors.
3.4 What AiEnerzy does with data
- Operate the service: host, back up, render, search, calculate, generate Outputs, deliver messages, and show you your data.
- Improve the service: debug, measure quality, test features, and tune calculation engines.
- Develop and train models and analytics: build and evaluate AI and physics models for roof detection, design, bill extraction, BESS sizing, BoQ generation, performance monitoring and O&M insights — using de-identified or aggregated data. Identifiable End-Customer Personal Data is not used to train generalised models.
- Produce insights and benchmarks: market, pricing, performance, equipment-reliability and irradiance analyses at an aggregated or de-identified level, which AiEnerzy may publish, license or use in other products and services.
- Enable integrations you turn on: share the data needed with WhatsApp/Meta, payment, mapping, inverter OEM and DISCOM-related services.
- Referrals and marketplace, with your choice: list your business for customer referrals or connect you with equipment, finance or insurance partners only if you opt in; we will not share your identifiable pricing or customer lists with other installers.
- Safety, legal and fraud: detect abuse, meet legal obligations and enforce the Terms.
3.5 What AiEnerzy will not do
We will not sell identifiable End-Customer Personal Data; use identifiable personal data for third-party advertising; disclose your identifiable Customer Data to other installers or your competitors; or re-identify de-identified data, and we contractually prohibit our partners from doing so.
3.6 End-Customer Personal Data: roles and processor terms
For End-Customer Personal Data you are the Data Fiduciary and AiEnerzy is your Data Processor. The following terms apply as the data-processing agreement required by the DPDP Act and, where applicable, Article 28 GDPR: AiEnerzy processes such data only on your documented instructions (including the instructions in this Policy and the Terms); applies the security measures in the Privacy Policy; ensures personnel are bound by confidentiality; engages sub-processors under written terms no less protective and maintains a list available on request, giving notice of changes; assists you with data-principal requests and breach notifications; notifies you without undue delay of a personal data breach affecting your data; deletes or returns the data at the end of the relationship (subject to Section 1.10 of the Terms and legal retention); and makes available information reasonably needed to demonstrate compliance, including through independent audits or certifications. You instruct us to create Derived Data from End-Customer Personal Data only in de-identified or aggregated form, and you confirm that your notices and consents to end-customers cover this processing.
3.7 Your obligations
Collect Customer Data lawfully and only for genuine solar business purposes; give notice and obtain consent from end-customers as required by the DPDP Act, including for bill analysis, remote monitoring and WhatsApp or SMS communication; comply with TRAI's commercial-communication regulations and the WhatsApp Business policies, including customer opt-in and opt-out; avoid uploading data you have no right to share, special categories of data not needed for solar work, or photographs of people where not necessary; keep your account secure; and tell us promptly if end-customer data must be corrected or deleted.
3.8 Telemetry and monitoring data
When you connect a site, you authorise AiEnerzy to collect Telemetry Data from the site's devices or the OEM's cloud, to store and analyse it, to generate alerts and insights, and to share it with the OEM or DISCOM-related systems where required for the integration or by law. Telemetry Data about a site may continue to be processed after you cease servicing it only in de-identified form, or as instructed by the site owner.
3.9 Data location, export and deletion
Customer Data is stored primarily in India; sub-processors may process it elsewhere as described in the Privacy Policy. You can export your Customer Data in commonly used formats at any time and for 30 days after your account closes. We delete Customer Data within 90 days of closure except for legal retention and Derived Data. Deletion requests from end-customers are honoured through you as the Data Fiduciary.
3.10 Security and audit
AiEnerzy maintains the security practices described in the Privacy Policy and will provide, on reasonable request, a summary of its security controls and relevant certifications or audit reports.
3.11 Changes
Material changes to this Policy will be notified at least 15 days in advance; continued use after the effective date constitutes acceptance.
